    Exclusive Beat Agreement

    Effective Date: Date of purchase

    This Exclusive Beat Agreement ("Agreement") is made between GlazedOut Productions ("Licensor") and purchaser of this beat (“Licensee"). By purchasing and using the exclusive beat, the Licensee agrees to the following terms and conditions:

    1. Grant of Exclusive Rights

    • The Licensor grants the Licensee exclusive rights to the beat titled "Letter To RZA" ("Beat").
    • This exclusive license includes the rights to use, modify, distribute, and perform the Beat as part of a new musical composition ("New Composition") for commercial and non-commercial purposes.

    2. Payment

    • The Licensee agrees to pay a one-time fee of [Insert Amount] to the Licensor for the exclusive rights to the Beat.

    3. Revenue Sharing

    • In the event that the New Composition incorporating the Beat receives over 100,000 streams across all platforms, the Licensee agrees to provide the Licensor with a 5% split of all gross revenue generated from the New Composition. This includes streaming revenue, sales, and any other income derived from the New Composition.

    4. Rights and Obligations

    • The Licensee may not resell, transfer, or sublicense the Beat or the rights granted under this Agreement to any third party.
    • The Licensee must credit the Licensor as "GlazedOut Productions" in any distribution of the New Composition, including but not limited to album liner notes, online descriptions, and credits.

    5. Ownership

    • The Licensor retains the copyright and all other rights to the Beat until the exclusive rights are transferred to the Licensee upon full payment.
    • Upon full payment, the Licensee owns all rights to the Beat, including the right to register the New Composition with performance rights organizations.

    6. Term and Termination

    • This Agreement is effective as of the date of purchase and shall remain in effect indefinitely, provided that the Licensee complies with all terms and conditions herein.
    • The Licensor reserves the right to terminate this Agreement immediately if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Beat and remove the New Composition from all distribution channels.

    7. Indemnification

    • The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, liabilities, costs, and expenses arising out of or related to the Licensee’s use of the Beat or any breach of this Agreement by the Licensee.

    8. Miscellaneous

    • This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
    • This Agreement shall be governed by and construed in accordance with the laws of the state of Wisconsin, without regard to its conflict of law principles.
    • Any disputes arising under or in connection with this Agreement shall be resolved in the state or federal courts located in Wisconsin.
